APAG Board Meeting March 4^th, 2018

Meeting called to order:  March 4^th at 7:11 PM by President Alana Evans

Roll Call: Conducted by Secretary/Treasurer Kelly Pierce at 7:12 PM

Reading of officer pledge: conducted by President Alana Evans at 7:13 pm

Reading of Agenda: Read and approved by President Alana Evans at 7:14 pm

Reading and approval minutes: Minutes from February 11^th, 2018 provided by Secretary Kelly Pierce at 7:15 pm they were accepted as published and approved by consensus.

At 7:16 pm Kelly Pierce reads off Parliamentarians request to use a Proxy Vote which enables President Alana Evans to vote for him. He specifically gave her his votes on issues, before the meeting.

• Recommend, discuss, and vote to approve new board members to the board
• Recommend, discuss, and vote to approve Vice President position
• Schedule a bylaw discussion meeting w/ all board members present
• Treasurer Discussion and dynamics
• Committee discussion

Summary of Discussion:

At 7:45 PM Secretary/Treasurer Kelly Pierce presents Nica Noelle’s resume to the board for her to be considered as a board member.

At 7:49 pm Board Member Tony Tedeschi raises questions of concerns about Nica Noelle mostly being a director.

At 7:49 pm Sergeant at Arms Amber Lynn cross examines Miss Noelle to understand her attentions and performer background. Leaving Miss Lynn satisfied with her answers.

At 7:49 pm Secretary/Treasurer Kelly Pierce defends Miss Noelle’s acting credits and character to the board. Telling the board Nica Noelle has performed in over 50 movies and most performers now a days are directors and performers. That Nica Noelle should be praised that she beat the system as a performer.

At 7:50 pm President Alana Evans and Board Member Ruby also defend Nica Noelle’s character and acting credits. Board Member Ruby and President Alana Evans express their deep respect for Nica Noelle and her resume in this industry.

At 7:51 Board Member Tony Tedeschi leaves the meeting

Motion by Secretary Kelly Pierce to vote in Nica Noelle as a board member at 7:54, seconded by Board Member Ruby: 4 in favor one proxy vote by Parliamentarian Jorge (Proxy Vote by board member Tony Tedeschi to be added at a later date) Accepted by Nica Noelle at 7:55

At 7:56 pm Secretary/Treasurer Kelly Pierce presents India Morel’s resume to the board for her to be considered as a board member

Motion by Secretary/Treasurer Kelly Pierce to vote in India Morel as a board member at 8:02 pm, seconded by Board Member Ruby: 4 in favor w/ one proxy vote by Parliamentarian Jorge (Proxy Vote by Board Member Tony Tedeschi to be added at a later date)

At 8:10 pm president Alana Evans conducts the swearing in of new board members

At 8:11 pm Nica Noelle is sworn in as an official board member to the Adult Performers Actors Guild

At 8:13 pm India Morel is sworn in as an official board member to the Adult Performers Actors Guild

At 8:15 pm Secretary/Treasurer Kelly Pierce presents the dilemma with filling the Vice President Vacancy. Mrs. Pierce says a good solution would be to add board member Ruby to the position of Vice President for the time and dedication she has given to the board.

Motioned by Secretary/Treasurer Kelly Pierce to vote in Ruby for Vice President at 8:13, seconded by Amber Lynn: 6 in favor w/ one by proxy vote by Parliamentarian Jorge (proxy vote by Board Member Tony Tedeschi to be added at a later date)

At 8:14 pm Board Member Ruby is now officially Adult Performers Actors Guild Vice President

At 8:15 pm Sergeant at Arms Amber Lynn takes privilege to leave

At 8:20 pm Secretary/Treasurer Kelly presents Treasurer discussion and options for APAG’s official Accounting system

At 8:25 pm Kelly presents possible date options to schedule a bylaws discussion and the updating of them. It is tentatively decided Sunday March 18^th

At 8:27 pm Secretary/Treasurer Kelly Pierce opens the discussion on APAG committees. What ones we have and who wants to join said committees.

At 8:32 pm President Alana Evans Calls the meeting to a close
